Welcome to PrivyDocs. These Terms and Conditions of Service ("Terms", "Agreement") govern your access to and use of the services, software, platform, and websites of PrivyDocs (collectively, the "Service") offered by Grupo Omniatix Inteligencia Aplicada SAS and/or its affiliates ("Omniatix", "PrivyDocs", "we", "us", "our").

By registering for, accessing, or using the Service in any way, you ("Customer", "User") and any entity you represent, unconditionally agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind such organization. If you do not agree to all the terms, you may not use the Service.

1. Key Definitions

  • PrivyDocs Service: The secure document management and distribution platform that allows sharing PDF files with advanced access controls, end-to-end encryption (E2EE), watermarks, viewing analytics, and related features.
  • Customer (or "User"): The individual or legal entity that contracts and uses the PrivyDocs Service.
  • Team Users: Individuals accessing the Service under the Customer's account, according to the contracted plan.
  • Viewers: Individuals accessing shared documents through PrivyDocs links.
  • Customer Content: All documents, files, information, and content that the Customer provides or uploads to use the Service.
  • Share Link: The primary mechanism of the Service to distribute documents to Viewers, along with its associated security settings and analytics.
  • Workspace: A space within the platform that groups multiple documents for joint management and distribution.
  • End-to-End Encryption (E2EE): An optional 256-bit AES-GCM encryption feature that the Customer can enable when uploading a document. It is not enabled by default.
  • Lifetime License: A perpetual license that grants access to the core PrivyDocs software as long as the service exists.
  • Payment Processor: Our authorized Merchant of Record that processes payments, subscriptions, billing, and taxes on behalf of PrivyDocs.

2. Description of the Service

2.1. Secure Document Management and Distribution Platform

PrivyDocs offers a platform that allows the Customer to:

  • Securely upload, organize, and manage PDF documents, with the option to enable end-to-end encryption (E2EE).
  • Share documents and workspaces through Share Links with granular access controls.
  • Configure advanced security options: password protection, email/WhatsApp verification via OTP, email whitelists, expiration dates, and viewing limits.
  • Apply static and dynamic watermarks with customizable placeholders ({email}, {ip}, {date}, {name}).
  • Monitor and analyze document viewing activity in real time.
  • Manage contacts generated from interactions with documents.
  • Configure custom domains and personalize workspaces with corporate branding.
  • Control download security and manage metadata and SEO of shared links.

2.2. AI Integration (MCP Server)

The Service may include an MCP (Model Context Protocol) server that allows integration with language models (LLMs) and AI agents to create and share links, query analytics, and automate follow-up actions.

2.3. Plans and Features

PrivyDocs offers different plans with varying levels of functionality, storage capacity, number of seats, and add-ons. Specific features are available on our pricing page. We reserve the right to modify, update, or discontinue any plan or feature at any time, with reasonable efforts to provide prior notice.

3. Accounts and Users

3.1. Account Creation

To use the Service, the Customer must create an account by providing accurate, complete, and updated information. The Customer is responsible for maintaining the confidentiality of their credentials and all activities occurring under their account.

3.2. Requirements for Use

To use the Service, the Customer must be at least 18 years old, comply with all applicable laws, not use the Service for illegal activities, and not infringe on third-party rights.

3.3. Email Requirements (Free Plan)

For the Free Plan, registration requires a corporate email. Free email provider accounts (Gmail, Yahoo, Hotmail, etc.) are not accepted.

3.4. Team Users

Depending on the plan, the Customer may assign user accounts to their team members. Each account requires a seat license and cannot be shared. The Customer is responsible for ensuring their Team Users comply with these Terms and for all actions taken by them.

3.5. Unauthorized Access

The Customer shall prevent unauthorized use of the Service. The Service is not intended for individuals under 16 years of age. Any unauthorized use must be reported to [email protected].

4. Licenses, Subscriptions, and Payments

4.1. Licensing Model

PrivyDocs operates under a Lifetime License model for the core software. Lifetime Licenses are not version-locked; updates are included. However, third-party dependent add-ons are not perpetually guaranteed (see Section 4.7).

4.2. Available Plans

  • Free ($0): Basic features, 10 Share Links, 100 MB of storage. Requires corporate email.
  • Pro ($99 - Lifetime): Advanced security features, E2EE, custom watermarks, 1 seat, 1 GB of storage.
  • Business ($349 - Lifetime): All features, dynamic watermarks, 5 seats, 3 GB (unlimited with BYOS), Lifetime custom domain.

4.3. Payment Processor (Merchant of Record)

Our order process is conducted by our authorized payment processor, who acts as the Merchant of Record for all our orders. By making a purchase, the Customer agrees that the payment processor independently processes and manages all payments, invoicing, calculation and collection of taxes (such as VAT), and refunds associated with their order. Your initial purchase transaction is subject to the payment processor's Terms of Service. PrivyDocs DOES NOT process or store financial or credit card information.

4.4. Digital Provisioning

PrivyDocs is a digital SaaS product with immediate provisioning upon successful payment.

4.5. Trial Periods

PrivyDocs offers 14-day trial periods for monthly subscriptions of the Pro and Business plans. A credit card is required. Only 1 trial per account. At the end of the trial, it will be automatically charged if not previously canceled. If canceled during the trial, you will retain access until day 14, after which it will downgrade to the Free Plan. Lifetime licenses do not have a trial period, but are covered by a 30-day money-back guarantee.

4.6. Taxes and Billing

Our payment processor automatically calculates and collects applicable taxes based on your location. Invoices are available in your Customer Portal.

4.7. Add-ons and Third-Party Dependent Services

Certain add-ons (custom domains, WhatsApp verification, AI integrations, BYOE email sending) depend on third-party providers and are offered on a "Commercially Reasonable Effort" basis. PrivyDocs cannot guarantee their perpetuity if substantial changes outside our control occur. In case of permanent cancellation without a viable alternative, proportional credit (for separate purchases) or compensation in other add-ons (for features included in the plan) may be offered. The Lifetime License of the core software will not be affected by changes to add-ons.

4.8. Cancellations and Refunds

Lifetime Licenses: We offer a 30-day money-back guarantee. If you purchase a Lifetime license and decide it's not for you, we will refund 100% of your money within the first 30 days, no questions asked. To request a refund, write to [email protected] within 30 days with your Order ID.

Monthly Subscriptions: Subscriptions include a 14-day free trial. You can cancel at any time during the trial and you won't be charged. Once charged, subscription payments are non-refundable unless required by law.

EU/UK Consumers: Your legal 14-day right of withdrawal may apply, unless you consent to immediate access at checkout.

5. Customer Content and Data

5.1. Content Ownership

The Customer retains all rights to their Content. By uploading it, they grant Omniatix a worldwide, non-exclusive, royalty-free license solely to provide the Service (storage, delivery, watermarks, encryption, thumbnails).

5.2. End-to-End Encryption (E2EE)

E2EE is an optional feature that the Customer can enable when uploading a document. By default, documents are uploaded without E2EE.

When the Customer chooses to enable E2EE, documents are encrypted in the browser with 256-bit AES-GCM before being uploaded. PrivyDocs has no access to the encryption keys or the unencrypted content, and cannot recover encrypted documents if the Customer loses their keys.

Limitations when enabling E2EE: By encrypting a document, certain features are disabled or limited, including: automatic thumbnail generation, AI content analysis, and any other feature requiring server-side access to the document's content.

5.3. Responsibility for Content

The Customer is solely responsible for the accuracy, legality, and ownership of their Content, and for ensuring they possess the necessary rights to upload and share it.

5.4. Viewer Data

The Customer is the Data Controller for the personal data of Viewers. PrivyDocs acts as the Data Processor. The Customer must comply with all applicable data protection laws, obtain necessary consents, and implement a clear privacy policy. PrivyDocs assumes that the Customer (who shares the link) already has the implicit or explicit consent of the Viewer to track their activity.

5.5. Backup and Retention

The Customer is responsible for retaining their data and making backups. PrivyDocs will not be held liable for any loss of Customer Data.

6. Use Restrictions

By using the Service, the Customer agrees not to:

  • Upload, store, or transmit content that is illegal, defamatory, harmful, obscene, or constitutes an invasion of privacy.
  • Distribute content that infringes upon copyright, trademarks, patents, or other intellectual property rights.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service, its systems, or networks.
  • Copy, modify, decompile, or disassemble any source code of the Service.
  • Sublicense, resell, or transfer access to the Service to unauthorized third parties.
  • Circumvent, disable, or hinder the Service's security features (watermarks, download restrictions, passwords, limits).
  • Use automated means (bots, scrapers) to access documents or extract information without authorization.

7. Intellectual Property

Omniatix and its licensors own all rights to the Service. These Terms do not grant the Customer any ownership rights. The Customer is granted a limited, non-exclusive, non-transferable license to use the Service according to their purchased plan.

By providing feedback or suggestions, the Customer grants Omniatix a worldwide, perpetual, royalty-free license to use them without attribution.

7.1. Copyright and DMCA

PrivyDocs respects intellectual property rights. If you believe any content infringes your copyright, you may notify us at [email protected]. PrivyDocs reserves the right to terminate accounts of repeat infringers.

8. Disclaimer of Warranties

PrivyDocs provides the Service "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. The Customer acknowledges that:

  • E2EE is optional. When enabled, features like thumbnails and AI analysis are disabled.
  • Watermarks and copy/print restrictions depend on the compatibility of the Viewer's PDF reader.
  • Third-party integrations may be affected by changes to the APIs of those platforms.
  • Performance may vary based on external factors like internet connectivity and third-party service availability.

The Customer is responsible for properly configuring security controls, safeguarding their encryption keys (when using E2EE), complying with data protection laws, and making backups of their documents.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE CUSTOMER NOR PRIVYDOCS SHALL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR LOSS OF USE, DATA, BUSINESS, OR PROFITS.

PRIVYDOCS' TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER DURING THE TWELVE MONTHS PRECEDING THE EVENT. FOR FREE ACCOUNTS, TOTAL LIABILITY WILL NOT EXCEED FIFTY US DOLLARS (50 USD).

PrivyDocs shall not be liable for: damages arising from third-party provider failures, unauthorized access caused by improper Customer configuration, loss of E2EE encrypted documents due to lost keys, or misuse by Viewers.

10. Indemnification

The Customer shall indemnify and hold PrivyDocs harmless against any loss, liability, damage, or claim arising from: (a) breach of these Terms; (b) Customer Data; (c) infringement of third-party rights through uploaded content; or (d) any access or misuse of the Service by the Customer.

11. Termination

11.1. Termination by Customer

The Customer may request cancellation at any time by emailing [email protected]. Upon cancellation, licenses will cease, Share Links will be deactivated, and data will be deleted according to our Privacy Policy.

11.2. Termination by PrivyDocs

PrivyDocs may terminate these Terms immediately upon a severe violation of the Use Restrictions, or with 30 days' notice for an unresolved material breach. PrivyDocs may allow the Customer to retrieve their data for 30 days following termination.

12. General Provisions

12.1. Modifications

PrivyDocs may update these Terms periodically. We will notify you of significant changes via email or through notice within the Service. Continuous use following the publication of changes constitutes acceptance.

12.2. Assignment

The Customer may not assign these Terms without prior written consent from PrivyDocs.

12.3. Force Majeure

Neither party shall be liable for failures caused by circumstances beyond their reasonable control.

12.4. Applicable Law

These Terms shall be governed by the laws of the Argentine Republic. For any dispute, the parties submit to the jurisdiction of the ordinary courts of the Province of Mendoza, Argentina, unless applicable consumer law mandates a different jurisdiction.

12.5. Entire Agreement

These Terms, along with the Privacy Policy, the Lifetime Services Addendum, and any applicable Order Form, constitute the entire agreement between the parties.
