This Lifetime Services Addendum ("Addendum") supplements the PrivyDocs Terms of Service ("Terms") and applies exclusively to Customers who hold a Lifetime License. Capitalized terms not defined herein have the meanings set forth in the Terms. In the event of a conflict between this Addendum and the Terms regarding Lifetime License matters, this Addendum shall prevail.

1. Definitions

  • Core Software: The functionalities included in the Customer's purchased Lifetime License plan at the time of purchase, as described on the pricing page at that date. This includes, but is not limited to: document upload, storage (within plan limits), Share Links, access controls, watermarks, viewing analytics, end-to-end encryption (E2EE), and contact management.
  • Service Delivery Infrastructure: The underlying technical mechanisms, third-party providers, servers, content delivery networks (CDNs), storage systems, hosting platforms, and other infrastructure components used by PrivyDocs to deliver the Core Software to its users.
  • Plan Limits: The specific quantitative limits associated with the Customer's purchased Lifetime License plan at the time of purchase, including storage capacity (in GB), number of seats, and number of Share Links.

2. Lifetime License Guarantee

2.1. Core Software Access

The Lifetime License grants the Customer perpetual access to the Core Software functionalities included in their purchased plan, for as long as the PrivyDocs Service continues to operate. All updates, improvements, and new versions of the Core Software are included at no additional cost.

2.2. No Version Lock

Lifetime Licenses are not locked to a specific version of the software. The Customer will always have access to the most current version of the Core Software.

2.3. Plan Limits

The quantitative limits of the Customer's plan (storage, seats, Share Links) are those published on the pricing page at the time of purchase. These limits will not be reduced below the values included in the Customer's original purchase.

3. Infrastructure Flexibility

3.1. Right to Modify Infrastructure

PrivyDocs reserves the right to change, replace, upgrade, or migrate any component of the Service Delivery Infrastructure at any time and at its sole discretion. This includes, without limitation, changes to CDN providers, cloud storage platforms, hosting environments, database systems, email delivery services, and any other infrastructure component.

3.2. Not a Breach

Changes to the Service Delivery Infrastructure shall not constitute a reduction, modification, or breach of the Lifetime License, provided that the Core Software functionalities remain substantially available to the Customer.

3.3. Performance Commitment

When making infrastructure changes, PrivyDocs will use commercially reasonable efforts to maintain or improve the performance, availability, and reliability of the Service. Temporary disruptions during migrations are not considered a breach of this commitment.

3.4. Notice of Material Changes

PrivyDocs will provide at least thirty (30) days' prior written notice (via email or in-app notification) before implementing material changes to the Service Delivery Infrastructure that may noticeably affect the Customer's experience, when reasonably practicable.

4. Fair Use Policy

4.1. Reasonable Use

The Lifetime License is intended for the Customer's normal business or personal use within the Plan Limits. The Customer agrees to use the Service in a manner consistent with reasonable usage patterns.

4.2. Excessive Use Threshold

If a Customer's usage of bandwidth, API calls, or other resources (excluding storage, which is governed by Plan Limits) consistently exceeds ten times (10x) the average usage of Customers on the same plan over a sustained period, PrivyDocs may contact the Customer to discuss their usage patterns.

4.3. Resolution Process

In cases of excessive use, PrivyDocs will:

  • Notify the Customer in writing at least thirty (30) days before taking any action.
  • Work collaboratively with the Customer to find a mutually acceptable solution, which may include optimizing usage patterns or offering a supplemental resource package at a fair price.
  • Not unilaterally terminate or restrict the Lifetime License without first completing this resolution process.

4.4. Exclusions

This Fair Use Policy does not apply to storage capacity, number of seats, or number of Share Links, which are governed solely by the Plan Limits defined at the time of purchase.

5. Service Continuity

5.1. Minimum Operating Commitment

PrivyDocs commits to operating the Service for a minimum period of five (5) years from the date of the Customer's Lifetime License purchase. This commitment is subject to Force Majeure events as defined in Section 12.3 of the Terms.

5.2. Service Discontinuation Notice

If PrivyDocs decides to permanently discontinue the Service after the minimum operating period, PrivyDocs will provide at least twelve (12) months' advance written notice to all Lifetime License holders.

5.3. Data Export Guarantee

During the notice period described in Section 5.2, PrivyDocs will provide Lifetime License holders with the ability to export all of their data, including:

  • All uploaded documents in their original format.
  • Viewing analytics and engagement data in a structured, machine-readable format (CSV or JSON).
  • Contact lists and associated metadata.
  • Share Link configurations and settings.

5.4. Business Transfer

In the event of a merger, acquisition, or sale of PrivyDocs' assets, all existing Lifetime Licenses will be transferred to and honored by the successor entity under the same terms set forth in this Addendum. PrivyDocs will use commercially reasonable efforts to ensure such transfer obligation is included in any acquisition agreement.

6. Third-Party Add-ons

Features that depend on specific third-party providers (such as custom domains, WhatsApp verification, AI integrations, or Bring-Your-Own email sending) are governed by Section 4.7 of the Terms and are offered on a "Commercially Reasonable Effort" basis. Changes to or discontinuation of these add-ons do not affect the Lifetime License for the Core Software.

For clarity: the distinction between Core Software and add-ons is that the Core Software encompasses all functionalities that PrivyDocs can deliver independently, regardless of the underlying Service Delivery Infrastructure. Add-ons are features whose availability depends on a specific named third-party service that PrivyDocs does not control.

7. Features in Development

Features labeled as "Coming Soon", "Beta", "Preview", or similar designations are not part of the Core Software until they are officially released as generally available. PrivyDocs makes no guarantees regarding the timeline, availability, or inclusion of such features in any plan.

8. Regulatory Compliance

Changes to the Service required by applicable law, regulation, court order, or government directive shall not constitute a breach of the Lifetime License or this Addendum. PrivyDocs will notify affected Customers promptly of any such mandatory changes.

9. Relationship with Terms of Service

This Addendum is incorporated into and forms part of the Terms of Service. All provisions of the Terms that are not specifically modified by this Addendum remain in full force and effect. In the event of a conflict between this Addendum and the Terms regarding matters specific to Lifetime Licenses, the provisions of this Addendum shall prevail.
